Agreement and priority
These terms apply to SoftNSM quotations, projects, subscriptions, managed hosting and support. A signed proposal, quotation, statement of work or service order may add project-specific terms. If documents conflict, the signed project-specific document controls for that engagement, subject to mandatory Bangladesh law.
Scope, estimates and changes
Only deliverables expressly listed in the confirmed scope are included. Dates are good-faith estimates and depend on timely access, content, approvals and payments. New requirements, extra revisions, changed integrations or third-party changes may require a revised price and schedule.
Client responsibilities
The client must provide accurate requirements, lawful content, working access and an authorised contact. The client warrants that supplied materials may lawfully be used and remains responsible for business claims and regulatory approvals.
Payments and ownership
Deposits reserve capacity and fund discovery, planning and mobilisation. Unless agreed otherwise, included custom source code and ownership rights transfer only after full payment. SoftNSM retains pre-existing tools, reusable components, methods and know-how; third-party assets retain their licences.
Professional conduct
Threats, harassment, discrimination, abusive language, unlawful demands or mistreatment of SoftNSM personnel are material breaches. SoftNSM may move communication to writing, suspend work for safety and terminate after notice where practicable. Earned fees, completed work and committed third-party costs are not refundable; any unused balance legally required to be returned remains unaffected.
Security and lawful use
Services must not be used for fraud, malware, unauthorised access, infringement, exploitation, spam or other unlawful activity. SoftNSM may restrict access to contain an incident or comply with a lawful direction. Both parties remain responsible for applicable cyber-security, personal-data and consumer laws.
Liability and disputes
SoftNSM will use reasonable skill and care, but cannot guarantee uninterrupted internet services, rankings, sales or third-party platforms. Nothing excludes liability or a statutory remedy that cannot lawfully be excluded. These terms are governed by Bangladesh law; disputes should first be raised in writing and otherwise proceed before a competent Bangladesh court.
